The Samal Summit

Terms of Use

The Samal Summit Agarwood & Eco-Farms Inc.

Effective date: 15 August 2026

Website: https://samalsummit.com/

1. Acceptance of these terms

These Terms of Use (“Terms”) govern access to and use of samalsummit.com (the “Website”), operated by The Samal Summit Agarwood & Eco-Farms Inc. (“Samal Summit,” “we,” “us,” or “our”). By using the Website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website.

2. Website purpose

The Website introduces Samal Summit, its agro-forestry model, organization, projects, articles, partnership opportunities, and contact channels. Its content is provided for general information and relationship-building unless a separate written agreement expressly states otherwise.

3. No professional, regulatory, or investment advice

Website content is not legal, tax, financial, investment, forestry, environmental, technical, or regulatory advice. References to agarwood, plantations, traceability, carbon, sustainability, DENR, CITES, permits, or markets are general and may not reflect every current requirement or circumstance. Obtain advice from qualified professionals and confirm applicable rules with the competent authorities before acting.

4. No offer, solicitation, or automatic relationship

Nothing on the Website constitutes an offer to sell securities, solicit an investment, guarantee a return, accept a partnership, sell a regulated specimen, or enter into a binding contract. Submitting a form, exchanging messages, or receiving information does not create a partnership, agency, fiduciary, employment, customer, investor, or other legal relationship. Any binding arrangement must be documented in a separate written agreement signed by authorized representatives.

5. Agricultural and commercial uncertainty

Agarwood cultivation is a biological, long-term process affected by planting material, soil, water, climate, pests, disease, maintenance, inoculation, survival, resin development, quality grading, regulation, market demand, and other conditions. Statements about target areas, tree counts, schedules, yields, grades, prices, buyers, carbon benefits, or commercialization are plans, estimates, or aspirations unless expressly identified as verified historical facts.

We do not guarantee any yield, resin formation, grade, harvest date, selling price, market access, buyer acceptance, regulatory approval, permit, carbon credit, emissions reduction, environmental outcome, or investment return.

6. DENR, CITES, and traceability

Users are responsible for understanding and complying with all laws, permits, registrations, transport documents, trade restrictions, and reporting requirements applicable to their activities. Descriptions of traceability systems or technology—including any reference to AgarTrace—do not replace physical inspection, due diligence, lawful permits, chain-of-custody controls, DENR requirements, CITES documentation, customs requirements, or professional advice.

7. Accuracy and updates

We aim to present useful and responsible information, but content may be incomplete, become outdated, contain estimates, or change without notice. Project descriptions, biographies, timelines, maps, photographs, statistics, and regulatory summaries should not be treated as warranties. Contact us for current information before relying on Website content for a material decision.

8. Permitted use

You may access and use the Website for lawful, personal, informational, and legitimate business-evaluation purposes. We grant you a limited, revocable, non-exclusive, non-transferable license to view Website content for those purposes, subject to these Terms.

9. Prohibited conduct

You must not:

10. Forms, comments, and submissions

Information you submit must be accurate, lawful, and provided with proper authority. Do not send confidential business information, trade secrets, sensitive personal information, or regulated data through a general Website form unless we have agreed on an appropriate secure channel.

If comments are enabled, you are responsible for your comment. We may moderate, reject, remove, or disable content that is unlawful, abusive, misleading, promotional, infringing, or inconsistent with these Terms. A submission does not obligate us to respond, retain it, or accept any proposal.

11. Intellectual property

The Website and its original text, graphics, design, logos, photographs, videos, code, databases, and other materials are owned by or licensed to Samal Summit and are protected by applicable intellectual-property laws. Third-party names and marks remain the property of their respective owners. No right is granted except the limited permission in these Terms.

12. Third-party links and services

The Website may link to or use third-party services, including social networks, messaging platforms, maps, videos, translation, analytics, anti-spam tools, and AgarTrace.com. We do not control their availability, security, content, accuracy, or practices. A link does not necessarily mean endorsement. Your use of a third-party service is governed by that provider’s terms and policies.

13. Website availability and security

We may change, suspend, or discontinue any part of the Website. Offline or installed progressive-web-app content may be cached and may not reflect the latest version until refreshed. We use reasonable security measures, but cannot promise uninterrupted, error-free, or completely secure access. You are responsible for maintaining your own device, browser, network, and account security.

14. Disclaimers

To the extent permitted by law, the Website is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or results. Nothing in these Terms excludes a warranty or right that applicable law does not permit us to exclude.

15. Limitation of liability

To the extent permitted by law, Samal Summit and its directors, officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss arising from Website use, inability to use the Website, reliance on content, third-party services, or unauthorized access. Where liability cannot lawfully be excluded, it will be limited only to the extent permitted by applicable law. These limits do not apply to fraud, willful misconduct, or other liability that cannot legally be limited.

16. Responsibility for misuse

You are responsible for losses, claims, and reasonable costs resulting from your unlawful use of the Website, your violation of these Terms, or your infringement of another person’s rights, to the extent permitted by law.

17. Suspension or termination

We may restrict or terminate access where reasonably necessary to protect the Website, users, data, rights, or lawful operations, or where we believe these Terms have been violated. Provisions that by nature should continue after termination will remain effective.

18. Privacy

Our Privacy Policy explains how personal data is collected, used, disclosed, retained, and protected. It forms part of these Terms for Website use.

19. Changes to these terms

We may revise these Terms to reflect changes in law, Website functions, services, or business practices. Revised Terms will be posted with a new effective date. Continued use after the revised Terms take effect means you accept them, to the extent permitted by law.

20. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines, without prejudice to mandatory rights under applicable law. The parties should first attempt in good faith to resolve a dispute by written notice. Unresolved disputes may be brought before a court of competent jurisdiction in the Philippines.

21. General provisions

If any provision is held invalid or unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. These Terms and the Privacy Policy constitute the Website-use agreement between you and Samal Summit, except where a separate signed agreement applies to a specific relationship or transaction.
